Terms of Service

Thank you for your interest in using the online services operated by Erudite-Online.com, Inc. (hereafter called "Erudite-Online"). These Terms of Service govern your use of online services and software (the "Service"), which are offered through www.erudite-online.com.

By accessing or using the Service, or by clicking a button or checking a box marked "I Agree" (or something similar), you signify that you have read, understood and agree to be bound by these Terms of Service (the "Agreement"), and to the collection and use of your information as set forth in our Privacy Policy, whether or not you are a registered user of our Service. Erudite-Online reserves the right to modify this Agreement so long as it provides notice of these changes to you as described below. This Agreement applies to all visitors, users, and others who access or otherwise use the Service ("you" or "Users").

Please read this agreement carefully to ensure that you understand each provision.

  1. The Service

The Service allows its users to take part in Contests and Olympiads in various subjects, including mathematics, literature, science and others. All participants and their teachers can get Certificates that confirm the results of the participation in Contests and Olympiads.  

Unless explicitly stated otherwise, any new or improved features to the Service shall be provided subject to this Agreement. You understand and agree that the Service is provided "as-is" and that Erudite-Online assumes no responsibility for any mistakes, errors, or omissions, including any unavailability of the Service or deletion or loss of any data relating to the Service.

Erudite-Online grants you a personal, non-transferable and non-exclusive right and license to use the Service. You agree that you will not copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by Erudite-Online for use in accessing the Service.

To use the Service, you must obtain access to the Internet, either directly or through devices that access web-based content, and pay any service fees or other costs associated with such access. In addition, you must provide all equipment necessary to make such connection to the Internet, including a computer and modem or other access device.

  1. Eligibility and authority

Erudite-Online does not sell the Service to children, but only to adults who can purchase the Service with a credit card or other permitted payment method. If you are under eighteen (18) years of age, you may use the Service only with the involvement and consent of a parent or legal guardian.

  1. Your registration obligations

In consideration of your use of the Service, you agree to provide true, accurate, current and complete information about yourself as prompted by the registration form and maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Erudite-Online has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Erudite-Online has the right to suspend or terminate your account and refuse all current or future use of the Service (or any portion thereof).

  1. Payments

Participation in Contests and Olympiads is free. Each participant can answer an unlimited number of times to the questions of the contest (questions and answers are updated every time).

After registration, the participant can order award certificates to confirm the result. To obtain certificates you need to pay the administration fee.

  1. Account password and security

You will have a password and account designation upon completing the Personal Account's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to immediately notify Erudite-Online of any unauthorized use of your password or account or any other breach of security, and  ensure that you exit from your account at the end of each session. Erudite-Online cannot and will not be liable for any unauthorized access to your account or data that arises from your acts or omissions.

  1. Copyright complaints

It is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 ("DMCA"). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify us.

  1. Special admonitions for international use

All our contests have the status of "International". A participant from any country can take part.

Recognizing the global nature of the Internet, you agree to comply with and are solely responsible for ensuring compliance with all local laws, regulations, and rules in the jurisdiction(s) in which you reside. You agree to comply with all applicable laws regarding the transmission of data exported from the jurisdiction(s) in which you reside.

  1. No resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

  1. Notification procedures and modifications to agreement

Erudite-Online may provide notifications, whether required or provided by law or otherwise, to you via e-mail notice, written or hard copy notice, or through posting of such notice on our website, as determined by Erudite-Online in our sole discretion.

Erudite-Online may, in its sole discretion, modify or update this Agreement from time to time, which will be reflected in the `date last modified´ set forth below. If we change this Agreement in a material manner, we will update the `Effective Date´ at the top of this page and notify you that material changes have been made to this Agreement. Your continued use of the Services following such update constitutes your acceptance of the revised Terms. If you do not agree to any of the terms in this Agreement or to any future terms in a future revision of this Agreement, do not use or access (or continue to access) the Service.

Notwithstanding the foregoing, Erudite-Online shall not make any material change to the Terms that relate to the collection or use of Student Data without first giving notice to the school or parent and providing a choice before the Student Data is used in a materially different manner than was disclosed when the information was collected.

In the event that you have entered into a signed, written agreement with Erudite-Online in addition to this Agreement, any changes to this Agreement will not be effective as to you until either you affirmatively accept the changes to this Agreement, either electronically or in a signed writing or upon renewal at the end of the current term of your account.

You will not be permitted to continue using the Service and Erudite-Online reserves the right to cancel your account without notice if you refuse or otherwise fail to accept changes made by Erudite-Online to this Agreement.

Notices that are required or permitted to be sent to Erudite-Online must be sent to the following mailing address by certified mail with a copy sent by e-mail.

  1. Modification or termination of Service

Erudite-Online reserves the right at any time and from time to time to modify or temporarily discontinue the Service (or any part thereof) with or without notice. You agree that Erudite-Online shall not be liable to you or to any third party for any modification, suspension or temporary discontinuance of the Service. In the event of permanent discontinuance of the Service, Erudite-Online’s liability is limited to the paid subscription price, pro-rated to the amount of time remaining on the subscription.

You agree that Erudite-Online, in its sole discretion, may suspend or terminate your password, account (or any part thereof) or use of the Service, for any reason, including, without limitation, for lack of use or if Erudite-Online believes that you have violated or acted inconsistently with the letter or spirit of this Agreement. You agree that any termination of your access to the Service under any provision of this Agreement may be implemented without prior notice, and you acknowledge and agree that Erudite-Online may immediately deactivate or delete your account and all data relating to your account and/or bar any further access to the Service. Further, you agree that Erudite-Online shall not be liable to you or any third party for any termination of your access to the Service.

  1. Proprietary rights

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that information presented to you through the Service is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Erudite-Online or advertisers, you agree not to copy, modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. Any automated scraping, harvesting, indexing, mining, or any other extraction of any content from the Service is expressly prohibited.

The Service is protected by copyright and other laws. Under the terms of this Agreement, it is expressly forbidden to distribute or reproduce the content of the Service or any portion thereof by any means, including but not limited to electronic and print.

Erudite-Online reserves the right to cancel your account without refund if it is determined that you have violated this section of the Agreement.

  1. Disclaimer of warranties

You expressly understand and agree that:

  1. Your use of the service is at your sole risk. The service is provided on an "as is" and "as available" basis. Erudite-Online expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  2. Erudite-Online makes no warranty or condition that the service will meet your requirements, the service will be uninterrupted, timely, secure, or error-free, the results that may be obtained from the use of the service will be accurate or reliable, the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and any errors in the software will be corrected.
  3. No advice or information, whether oral or written, obtained by you from Erudite-Online or through or from the service shall create any warranty or condition not expressly stated in the agreement.
  1. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Erudite-Online, its affiliates, agents, directors, employees, suppliers or licensors be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Erudite-Online has been advised of the possibility of such damages), resulting from: the use or the inability to use the service; the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; unauthorized access to or alteration of your transmissions or data; statements or conduct of any third party on the service; or any other matter relating to the service.

  1. Trademark information

Erudite-Online and the Erudite-Online logo are registered trademarks of Erudite-Online.com, Inc. You agree not to use any Erudite-Online trademarks without the express advance written permission of Erudite-Online.
